Master Terms of Service & Privacy Policy

I. Terms of Service

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SERVICES PROVIDED BY CLEARPATH SOLUTIONS, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

2.1 Ownership

The Provider retains all right, title, and interest in and to the Services, including all related intellectual property rights. The Client acknowledges that they are purchasing a license to use the software, not ownership of the source code itself.

2.2 License

Subject to these Terms and payment of all applicable fees, the Provider grants the Client a limited, non-exclusive, non-transferable, revocable license to access and use the Services for internal business operations only.

3. Limitation of Liability (Important)

NOTICE OF LIABILITY: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". THE PROVIDER DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

3.1 Operational Use

The Services are intended as a support tool for operational visibility and decision-making. They are not designed for use in safety-critical applications where failure could result in injury, death, or severe environmental damage.

3.2 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLEARPATH SOLUTIONS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, PRODUCTION DOWNTIME, MISSED SHIPMENTS, OR OTHER INTANGIBLE LOSSES.

3.3 Liability Cap

Under no circumstances will the total liability of ClearPath Solutions, whether in contract, tort, or otherwise, exceed the total amount of fees paid by the Client to the Provider in the three (3) months preceding the claim.

The Provider strives for high availability but does not guarantee 100% uptime. Access may be temporarily suspended for maintenance, upgrades, or due to third-party cloud infrastructure failures (e.g., Supabase, AWS, Netlify). The Provider is not liable for any losses resulting from such downtime.

6. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Ireland. The Client agrees to submit to the exclusive jurisdiction of the courts of Ireland for any disputes arising out of or relating to these Terms.

This Privacy Policy explains how ClearPath Solutions processes personal data in compliance with the General Data Protection Regulation (EU) 2016/679 ("GDPR").
