I. Terms of Service

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SERVICES PROVIDED BY CLEARPATH SOLUTIONS, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

1. Definitions

• "Provider" refers to ClearPath Solutions, registered in Cork, Ireland.
• "Client" refers to the business entity or individual accessing the Services.
• "Services" refers to the custom software, dashboards, consulting, and digital tools provided by the Provider.
• "Intellectual Property" refers to all code, algorithms, designs, and systems created by the Provider.

2. License Grant & Intellectual Property

2.1 Ownership

The Provider retains all right, title, and interest in and to the Services, including all related intellectual property rights. The Client acknowledges that they are purchasing a license to use the software, not ownership of the source code itself.

2.2 License

Subject to these Terms and payment of all applicable fees, the Provider grants the Client a limited, non-exclusive, non-transferable, revocable license to access and use the Services for internal business operations only.

3. Limitation of Liability (Important)

3.1 Operational Use

The Services are intended as a support tool for operational visibility and decision-making. They are not designed for use in safety-critical applications where failure could result in injury, death, or severe environmental damage.

3.2 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLEARPATH SOLUTIONS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, PRODUCTION DOWNTIME, MISSED SHIPMENTS, OR OTHER INTANGIBLE LOSSES.

3.3 Liability Cap

Under no circumstances will the total liability of ClearPath Solutions, whether in contract, tort, or otherwise, exceed the total amount of fees paid by the Client to the Provider in the three (3) months preceding the claim.

4. Client Obligations

The Client agrees to:

• Provide accurate and complete data for the system to function correctly.
• Maintain the confidentiality of login credentials.
• Notify the Provider immediately of any unauthorized access.
• Indemnify and hold the Provider harmless against any claims arising from the Client's misuse of the Services or violation of these Terms.

5. Service Availability & Maintenance

The Provider strives for high availability but does not guarantee 100% uptime. Access may be temporarily suspended for maintenance, upgrades, or due to third-party cloud infrastructure failures (e.g., Supabase, AWS, Netlify). The Provider is not liable for any losses resulting from such downtime.

6. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Ireland. The Client agrees to submit to the exclusive jurisdiction of the courts of Ireland for any disputes arising out of or relating to these Terms.

II. Privacy Policy (GDPR)

This Privacy Policy explains how ClearPath Solutions processes personal data in compliance with the General Data Protection Regulation (EU) 2016/679 ("GDPR").

2. Information We Collect

2.1 Personal Data

We collect minimal personal data strictly necessary for authentication and account management:

• Name and Email Address (for login).
• IP Address and Access Logs (for security auditing).

2.2 Operational Data

We process business data uploaded by you, including production metrics, asset status, and shift logs. You (the Client) remain the owner of this data.

3. Legal Basis for Processing

We process your data under the following legal bases:

• Contractual Necessity: To deliver the software services you have requested.
• Legitimate Interests: To ensure the security and integrity of our systems.
• Legal Obligation: To comply with Irish tax and accounting laws.

4. Data Sharing & Third Parties

We do not sell your data. We share data only with trusted sub-processors necessary to run the infrastructure:

• Supabase / AWS: For secure database hosting and authentication services (Server locations: EU/Ireland).
• Netlify/Vercel: For web hosting services.

5. International Transfers

We primarily store data within the European Economic Area (EEA). If data is transferred outside the EEA, we ensure appropriate safeguards are in place, such as Standard Contractual Clauses (SCCs).

6. Data Retention

We retain personal data only for as long as your account is active or as needed to provide Services. Upon contract termination, you may request the deletion of all operational data, which will be completed within 30 days.

7. Your Rights (GDPR)

Under the GDPR, you have the following rights:

• Right to Access: Request a copy of your personal data.
• Right to Rectification: Correct inaccurate data.
• Right to Erasure: Request deletion of your data ("Right to be Forgotten").
• Right to Restrict Processing: Pause data processing in certain cases.
• Right to Data Portability: Receive your data in a structured format.
